Terms of Service

1. Agreement to Terms

By accessing or using the Breakpath website (breakpath.io) or any services provided by Breakpath, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use our website or services. These terms apply to all visitors, users, applicants, and clients.

2. Services Overview

Breakpath provides fixed-scope sprint development services designed to help startups and founders build and validate digital products. We offer two service tiers:

  • Validation Sprint ($4,500): A 3-day engagement focused on validating core assumptions and building a functional proof of concept.
  • MVP Sprint ($12,500): A 7-day engagement focused on building a minimum viable product ready for early users and market testing.

All services are subject to application and acceptance. Breakpath reserves the right to modify service offerings, pricing, and availability at any time.

3. Application and Acceptance

Submitting an application through the Breakpath website does not guarantee acceptance into a sprint engagement. Breakpath evaluates all applications based on project fit, feasibility, and current capacity.

Breakpath reserves the right to decline any application at its sole discretion and without obligation to provide a reason. Acceptance into a sprint engagement is confirmed only upon receipt of a written confirmation via email from Breakpath.

4. Pricing and Payment Terms

  • All prices are quoted in United States Dollars (USD).
  • A deposit is required upon acceptance to reserve sprint capacity: $1,800 for the Validation Sprint and $5,000 for the MVP Sprint.
  • The remaining balance is due no later than 24 hours before the scheduled sprint kickoff.
  • All payments are processed securely through Stripe. Breakpath does not store credit card numbers or sensitive payment credentials.
  • Late payment of the remaining balance may result in postponement of the sprint start date. Breakpath is not responsible for delays caused by late payment.

5. Deposit and Refund Policy

  • Deposits are non-refundable once the sprint has been confirmed and scheduled.
  • If Breakpath is unable to fulfill the engagement for any reason, the deposit will be refunded in full.
  • No refunds of any kind will be issued after the sprint kickoff (Day 1).
  • Partial refunds are not available for early termination initiated by the client.

6. Scope of Work

  • The scope of work is defined collaboratively during the intake process and locked before Day 1 of the sprint.
  • Each sprint includes a maximum of five (5) core features as agreed upon during intake.
  • Two (2) rounds of revisions are included within the sprint timeline.
  • Any requests that fall outside the agreed-upon scope constitute a separate engagement and will be quoted accordingly.
  • Breakpath reserves the right to determine the technical implementation approach, including the selection of frameworks, libraries, and architecture patterns best suited to deliver the agreed-upon scope.

7. Client Responsibilities

To ensure a successful sprint engagement, the client agrees to the following responsibilities:

  • Respond to all communications from Breakpath within 24 hours during the active sprint period.
  • Provide all necessary assets, credentials, brand materials, and content before the sprint kickoff date.
  • Designate a single decision-maker who has the authority to approve deliverables and make binding decisions on behalf of the client.
  • Failure to meet these response and preparation commitments may result in delays that are not attributable to Breakpath and do not extend the sprint timeline.

8. Intellectual Property and Ownership

  • Upon receipt of full payment, the client receives complete ownership of all deliverables produced during the engagement, including source code, design files, and documentation.
  • Breakpath retains no proprietary rights to the delivered work product.
  • Breakpath retains the right to use general knowledge, techniques, skills, and methodologies gained during the engagement.
  • Pre-existing tools, frameworks, and open-source software components incorporated into deliverables remain subject to their respective licenses.
  • Breakpath may reference the engagement in portfolio materials, case studies, and marketing content unless the client opts out in writing prior to or during the engagement.

9. Confidentiality

  • Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement.
  • Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, is independently developed without reference to the disclosing party's confidential information, or is rightfully received from a third party without restriction.
  • This confidentiality obligation survives the termination of the engagement for a period of two (2) years from the date of termination.

10. Warranties and Disclaimers

  • Breakpath warrants that all services will be performed in a professional and workmanlike manner consistent with industry standards.
  • Deliverables are provided "as is" after the sprint concludes. The warranty period does not extend beyond the duration of the sprint engagement.
  • Breakpath does not warrant that deliverables will be error-free, uninterrupted, or suitable for any particular purpose beyond the agreed-upon scope.
  • Breakpath makes no guarantees regarding business success, revenue generation, regulatory approval, or market validation resulting from the use of deliverables.
  • The client is solely responsible for ongoing maintenance, hosting, updates, and security of the deliverables after the sprint handoff.

11. Limitation of Liability

  • Breakpath's total aggregate liability arising from or related to any engagement shall not exceed the total fees paid by the client for that specific engagement.
  • In no event shall Breakpath be liable for any indirect, incidental, consequential, special, or punitive damages of any kind.
  • This limitation applies to, but is not limited to, loss of profits, loss of data, loss of business opportunities, and loss of goodwill, regardless of the theory of liability.

12. Indemnification

The client agrees to indemnify, defend, and hold harmless Breakpath, its owners, employees, and contractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to the client's use of the deliverables, the client's violation of any applicable laws or regulations, or the client's breach of these Terms of Service.

13. Termination

  • Either party may terminate the engagement by providing written notice to the other party.
  • If the client terminates the engagement after the sprint kickoff (Day 1), no refund will be issued for any fees already paid.
  • If Breakpath terminates the engagement, a pro-rata refund will be issued for any work not yet performed.
  • The following sections survive termination of the engagement: Intellectual Property and Ownership, Confidentiality, Limitation of Liability, and Indemnification.

14. Force Majeure

Neither party shall be held liable for any delay or failure to perform its obligations under these terms where such delay or failure results from circumstances beyond the party's reasonable control. This includes, but is not limited to, natural disasters, pandemics, epidemics, internet or infrastructure outages, acts of government, war, terrorism, labor disputes, or third-party service failures.

15. Dispute Resolution

  • Any disputes arising from or related to these Terms of Service or any engagement shall first be addressed through good-faith negotiation between the parties.
  • If the parties are unable to resolve a dispute through negotiation within thirty (30) days, the dispute shall be submitted to binding arbitration administered in accordance with applicable rules.
  • These Terms of Service are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

16. Modifications to These Terms

Breakpath reserves the right to update or modify these Terms of Service at any time and at its sole discretion. Material changes will be communicated via email to active clients or by posting a notice on the Breakpath website.

Your continued use of Breakpath's services after any such changes constitutes your acceptance of the revised terms. We encourage you to review these terms periodically.

17. Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.

18. Entire Agreement

These Terms of Service, together with any executed Statement of Work, proposal, or supplemental agreement, constitute the entire agreement between the parties with respect to the subject matter hereof. These terms supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
